1. General
1.1 These general terms and conditions apply to all offers, quotations, agreements, and deliveries of YourData Network BV (“YourData Network”).
1.2 Deviations from or additions to these terms are only valid if expressly agreed in writing.
1.3 The applicability of any purchase or other conditions of the customer is expressly rejected.
1.4 If any provision of these terms is null or void, the remaining provisions shall remain fully effective.
2. Products and Services
2.1 YourData Network offers, among other things:
- Nodes
- Laptops
- Routers
- Peripheral equipment
- Hosting services
- Support for data hosting on nodes
- AI-related services (see Article 16)
2.2 Specifications and functionalities of the offered products and services are clearly stated on the website and in quotations.
2.3 All offers and quotations are without obligation unless explicitly stated otherwise.
3. Internet Provider and Legal Restrictions
3.1 Customers are solely responsible for ensuring compliance with their internet service provider’s (ISP) terms, including restrictions related to running servers or nodes.
3.2 YourData Network accepts no responsibility for issues arising from ISP limitations or non-compliance with ISP policies.
4. Prices and Payment
4.1 All prices are in euros and exclusive of VAT, unless stated otherwise.
4.2 Payment must be made within 14 days of the invoice date unless otherwise agreed in writing.
4.3 Additional costs arising from shipping, customs duties, import taxes, or handling fees are the responsibility of the customer.
5. Delivery and Retention of Title
5.1 Delivery takes place at the agreed delivery address.
5.2 Delivery times are indicative and cannot be considered binding deadlines.
5.3 Ownership of products passes to the customer only after full payment is received.
5.4 The risk of loss or damage transfers to the customer upon delivery.
6. Warranty and Complaints
6.1 YourData Network guarantees that delivered products meet reasonable expectations at the time of delivery.
6.2 A standard warranty period of 1 year applies unless stated otherwise.
6.3 Customers must report defects in writing within 7 days of discovering them.
6.4 In case of a justified complaint, YourData Network may repair, replace, or otherwise provide an appropriate solution.
6.5 The warranty becomes void if the customer:
- installs unauthorized software or firmware,
- modifies the operating system or bootloader, or
- uses the equipment for purposes outside normal intended use.
7. Return Policy (Consumers)
7.1 Consumers have the right to withdraw from the purchase within 14 days of receiving the product.
7.2 After notification, the product must be returned within 14 days.
7.3 Refunds are issued after receipt of the product in good condition.
7.4 Damage or missing components may result in a depreciation deduction.
7.5 Return shipping costs are borne by the customer.
7.6 Exchanges are possible upon request.
7.7 Customers must notify YourData Network immediately if an incorrect delivery address was provided.
8. Consumers and Business Customers
8.1 Consumers retain statutory rights, including withdrawal rights.
8.2 Business customers do not have withdrawal rights.
8.3 Liability towards business customers is limited to direct damages up to the invoice value.
9. Privacy and Data Processing
9.1 YourData Network processes personal data in accordance with the GDPR.
9.2 Data will not be shared with third parties except when necessary for the agreement or when legally required.

10. Intellectual Property
10.1 All intellectual property rights related to software, hardware, documentation, and services provided by YourData Network remain the property of YourData Network or its licensors.
10.2 Customers receive a non-exclusive, non-transferable right of use unless otherwise agreed.
11. Liability
11.1 The total liability of YourData Network is limited to the invoice value of the delivered product or service.
11.2 YourData Network is not liable for indirect damages such as loss of profit, data loss, reputational damage, or third-party faults.
11.3 Liability applies only in cases of intent or gross negligence.
11.4 YourData Network is not liable for damages resulting from third-party applications or customer-installed software on any device.
12. Export and Use Restrictions
12.1 Customers may not sell or supply products, including smartphones or nodes, to military, intelligence, or arms-industry parties.
12.2 For deliveries to government entities, customers must ensure the products are not used by military, police, or intelligence services.
12.3 YourData Network reserves the right to refuse or cancel orders if export-control risks exist.
13. Force Majeure
13.1 YourData Network is not liable for delays or damages caused by force majeure, including power outages, network issues, natural disasters, war, or external failures.
13.2 If force majeure lasts more than 60 days, either party may terminate the agreement without compensation.
14. Additional Work and Amendments to Agreements
14.1 Additional work outside the original agreement will be charged at standard rates.
14.2 Amendments to agreements must be recorded in writing.
15. Service Interruptions, Security, and Maintenance
15.1 YourData Network may temporarily suspend services for maintenance or security purposes.
15.2 Temporary interruptions do not entitle customers to compensation.
15.3 Customers are responsible for maintaining up-to-date software, firmware, and security settings on devices they own or operate.
15.4 YourData Network is not liable for damages caused by outdated firmware, customer-modified software, or unsupported system configurations.
16. AI Services & Liability
16.1 YourData Network BV provides AI-related products and services, including but not limited to AI-ready nodes, Large Language Models (LLMs), model training, inference services, and other artificial-intelligence functionalities (“AI Services”). All AI Services are provided on an “as is” and “as available” basis, without any guarantee regarding accuracy, completeness, reliability, performance, suitability, or fitness for a particular purpose.
16.2 The customer acknowledges that AI systems are probabilistic in nature and may produce incorrect, incomplete, unexpected, biased, or potentially harmful outputs. All decisions, actions, or interpretations based on AI-generated output are entirely at the customer’s own risk.
16.3 YourData Network BV shall not be liable for any damage, whether direct or indirect, arising from or related to:
- AI-generated content, predictions, classifications, calculations, or recommendations;
- incorrect, misleading, biased, or harmful results produced by AI models;
- the customer’s use, misuse, or interpretation of AI output;
- errors, vulnerabilities, or deficiencies in datasets or training material provided by the customer or third parties.
16.4 Where the customer trains or causes models to be trained using their own data, the customer is solely and fully responsible for:
- the lawfulness and confidentiality of the data used;
- compliance with privacy and data-protection legislation, including the GDPR;
- preventing data leaks, intellectual-property infringement, or unauthorised processing of personal data.
16.5 The customer may only use AI Services in accordance with applicable laws and regulations. The customer is expressly prohibited from using AI Services for unlawful, discriminatory, harmful, or otherwise improper purposes, including but not limited to:
- generating or distributing deceptive deepfakes;
- violating copyright, database rights, or other intellectual-property rights;
- unlawful scraping, automated harvesting, or mass data extraction;
- training or deploying models for prohibited purposes such as surveillance, cybersecurity violations, weapons development, or any other illegal activities.
16.6 YourData Network BV provides no guarantees regarding uptime, availability, accuracy, model behaviour, or performance of AI models unless expressly agreed in writing. AI Services are not covered by any standard Service Level Agreement (SLA).
16.7 The customer shall fully indemnify and hold harmless YourData Network BV from any third-party claims arising from the customer’s use of AI Services, including but not limited to claims involving data breaches, intellectual-property infringement, unlawful content, harmful or incorrect output, or misuse of AI functionalities.
16.8 Nothing in the AI Services, including their output, shall be interpreted as legal, financial, medical, technical, or professional advice. AI-generated output shall never be considered professional or authoritative advice and must not be relied upon as such.
17. Data Responsibility, Backups, and Customer Content
17.1 Customers are solely responsible for the security, legality, and integrity of any data stored on nodes, devices, or hosting services.
17.2 YourData Network is not responsible for customer data loss unless explicitly agreed in writing.
17.3 Customers must maintain their own backups of all stored data, whether locally or on decentralized networks.
17.4 Customers are responsible for ensuring their use of storage and compute capacity complies with applicable laws, including copyright, privacy, and data-protection legislation.
17.5 YourData Network is not liable for unavailability, data corruption, or loss caused by:
- customer actions,
- third-party software,
- incorrect configurations,
- decentralized network conditions.
18. Misuse, Illegal Use, and High-Risk Use
18.1 Customers may not use products or services for illegal, harmful, or high-risk purposes.
18.2 Prohibited uses include:
- cyberattacks, scanning, or unauthorized access attempts;
- hosting illegal content;
- using nodes for criminal infrastructure;
- harmful AI use (see Article 16).
18.3 YourData Network may suspend or terminate services in case of suspected misuse.
18.4 Customers are fully liable for damages resulting from misuse.
19. Amendments to these Terms
19.1 YourData Network may update these terms and conditions.
19.2 Updated terms apply to all future transactions and continued use of products or services.
19.3 Customers will be notified of substantial changes by email or by publication on the YourData Network website.
19.4 Continued use of services after publication of updated terms constitutes acceptance.
20. Governing Law and Disputes
20.1 All agreements are governed by Dutch law.
20.2 Disputes will be submitted to the competent court in the district where YourData Network is located.
